Terms of Service

These Terms of Service ("Terms") govern your enrollment in and use of the SmileFund patient-financing service ("SmileFund" or the "Service") provided by JGX DIGITAL LAB LLC("JGX," "we," "us," or "our"). By enrolling in a SmileFund payment plan at your dental practice, you agree to these Terms.
1. The Service
SmileFund is a patient-financing service that enables dental practices to offer their patients structured payment plans for dental treatment. JGX DIGITAL LAB LLC processes scheduled installments on behalf of the patient and the dental practice and provides related account servicing, including electronic communications.
2. Eligibility
To enroll in a SmileFund payment plan, you must be at least 18 years old, a resident of the United States, and a patient of a dental practice that has contracted with JGX DIGITAL LAB LLC to offer SmileFund to its patients.
3. Enrollment
You enroll in SmileFund by signing a financing agreement with your dental practice that incorporates these Terms by reference. The financing agreement specifies the principal amount financed, the installment schedule, the payment method on file, and any applicable fees disclosed by your dental practice.
4. Payment Authorization
By enrolling, you authorize JGX DIGITAL LAB LLC and its payment processor to charge the payment method you provided for each scheduled installment on its due date. Payments are processed through Stripe, Inc., a third-party payment processor. You are responsible for maintaining a valid payment method on file. If a charge fails, JGX DIGITAL LAB LLC may retry the charge in accordance with the financing agreement and may notify you by email and SMS.
5. Late Payments and Default
If an installment is not paid by its due date, JGX DIGITAL LAB LLC will attempt to collect the past-due amount, including by sending email and SMS notices and by retrying the charge. Late fees, if any, are disclosed in the financing agreement. Repeated failed payment attempts may result in your plan being marked in default; the consequences of default, including collection actions, are described in the financing agreement.
6. Electronic Communications
You consent to receive transactional electronic communications (email and SMS) from JGX DIGITAL LAB LLC related to your SmileFund payment plan. These messages may include payment reminders, failed-payment notices, collection notices, and signing links. Message and data rates may apply. You may opt out of SMS messages at any time by replying STOP to any SmileFund text message, and you may opt out of email messages by clicking the unsubscribe link at the bottom of any SmileFund email. Opting out of transactional account messages may impact our ability to service your plan.
7. Relationship with Your Dental Practice
SmileFund is a financing service. The treatment, clinical care, and any related dental services are provided solely by your dental practice and are not provided by JGX DIGITAL LAB LLC. Disputes regarding clinical care must be addressed directly with your dental practice.
8. Termination
You may pay your SmileFund payment plan in full at any time without penalty, which ends your obligations under the financing agreement (other than obligations that survive by their nature). JGX DIGITAL LAB LLC may suspend or terminate the Service to you if you materially breach these Terms or the financing agreement.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." JGX DIGITAL LAB LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JGX DIGITAL LAB LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE, AND OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU HAVE ACTUALLY PAID TO JGX DIGITAL LAB LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or SMS to the contact information on file. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Monroe County, New York, and you consent to personal jurisdiction in those courts.
